The NeurowexTech name, logo, website design, and original content are owned by NeurowexTech and protected by copyright, trademark, and other intellectual property laws.
Upon full payment, the client owns the final delivered code and assets. Our templates, libraries, and proprietary methodologies remain our property.
We grant you a non-exclusive, non-transferable license to use the deliverables for their intended purpose. You may not resell or redistribute our work without explicit permission.

Both parties agree to keep confidential all non-public information shared during the engagement. We are happy to sign NDAs upon request. We will not share your project details or trade secrets with third parties without your consent, except as required by law.
To the maximum extent permitted by law, NeurowexTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our Services or any project deliverables.
Our total liability shall not exceed the amount paid by you for the specific service or project giving rise to the claim.
Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.
You agree to indemnify and hold harmless NeurowexTech, its employees, directors, and affiliates from any claims, damages, losses, or expenses arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.
Either party may terminate a project agreement with written notice. If you terminate a project without cause, you remain responsible for work completed and any non-refundable deposits. We reserve the right to suspend or terminate your access to our Services for violation of these Terms.
We may update these Terms from time to time. Continued use of our Services after changes constitutes acceptance of the modified Terms. We will notify you of significant changes via email or website notice.
These Terms shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Nairobi, Kenya.
Before filing a lawsuit, you agree to attempt to resolve any dispute through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Nairobi, Kenya, in accordance with Kenyan arbitration rules.
Our Services may integrate with third-party platforms (e.g., Shopify, Stripe, Firebase). We are not responsible for the terms, privacy practices, or performance of these third-party services.
While we implement reasonable security measures, you are responsible for maintaining backups of your data. We recommend regular backups of your project files and databases.
